User Agreement

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE SUBSCRIBING TO ANY SERVICES ACCESSIBLE ON THIS WEBSITE.

APPLICABLE TERMS

If you subscribe to any Premium services on this website, you are agreeing to comply with and be bound by the terms in this legally binding user agreement. If you do not accept these terms in their entirety, you must not subscribe to any of the site services.

The terms “HeySuccess”, “we” or “us” refer to HeySuccess Limited, a company incorporated and registered in England and Wales with company number 08749276 and whose registered office is at 1 Charterhouse Mews. London EC1M 6BB, United Kingdom. The terms “you” or “user” refer to you as the user of our website at www.HeySuccess.com.

This agreement includes and hereby incorporates the following: Website Terms of Use, Acceptable Use Policy, Privacy Policy and Cookie Policy, as such agreements may be in effect and modified by us from time to time.

We may amend this agreement at any time by posting revisions on this page without notice to you, unless such amendment reduces your rights or increases your responsibilities, in which case we will provide you with reasonable advance notice of any such change. Please check this page from time to time to take notice of any changes we make, as they are binding on you from the noted effective date, or from the time they are posted if there is no noted effective date. Your continued use of our site and subscription to any services offered on it after any such changes are made constitutes acceptance of and agreement to be bound by the revised terms.

PURPOSE OF THE WEBSITE

HeySuccess.com is a connected, global platform identifying international opportunities and global talent for students, graduates and recruiters (companies, non-profits, universities and governments). Our technology aggregates active internships, scholarships, volunteer positions, summer schools, conferences, events, student competitions, young professional programs, exchange programs, projects and graduate jobs, from over 5,000 sources in over 180 countries, to help connect users and promote educational opportunities

SUBSCRIPTIONS

We offer several subscription options to users to enable you to upgrade your level of participation and privileges on our site beyond the limited resources available to all users. All subscriptions require the creation of an account via Facebook, LinkedIn, Google+ or email, the completion and activation of a user profile. Any links posted to any such social media account on user profiles will be accessible to other users, who will be able to contact you via such social media accounts directly. Only completed and activated student and graduate profiles will be visible to recruiters. Users who purchase the premium or booster recruiter options must also submit basic information to us through one of our website forms. One of our team members will thereafter send business users an invoice within 48 hours and such invoice shall be paid within 10 working days. Consumer users will be prompted to pay by Stripe or Paypal via our website. Any package purchased will only be activated on receipt of payment.

The subscription models we offer and the fees required (where applicable) are set out below:

For the avoidance of doubt, we do not offer subscribers any trial period for services to which they subscribe.

We reserve the right to change, suspend or discontinue any services, change and modify subscription fees, and to institute new fees at any time, upon reasonable notice given to you in advance. No refund of fees already paid will be given.

Where applicable, we may also collect taxes (such as Value Added Tax (VAT)) on fees paid. These will be calculated based on the billing information that you provide us at the time of purchase.

PAYMENT

If you purchase any of our paid services, you agree to pay us the applicable subscription fees listed in the tables above or as modified by us from time to time. Payment must be made in United States Dollars (USD), Euros or Great British Pounds (GBP). (Your payment may be subject to foreign exchange fees or differences in prices based on location).

Subscription fees must be paid via one of our three valid payment methods: Stripe or Paypal In the case of students or graduates, fees may be paid by a third party on your behalf. Where you choose to take advantage of this option, you agree to obtain permission from such third party to be contacted by HeySuccess Limited for this purpose before providing us with their contact details.

By providing payment provider information through our site and authorising payments, you represent, warrant and covenant that: (a) you are legally authorised to provide such information; (b) you are legally authorised to perform payments using your chosen payment method; (c) such action does not violate the terms and conditions applicable to your use of such payment methods or applicable law; and (d) there are sufficient funds or credit available to complete the payment using the designated payment method. To the extent that any amounts owed under this agreement cannot be collected from your designated payment method, you are solely responsible for paying such amounts by other means.

The billing period begins on the date that we receive payment and subscription fees are calculated from the beginning of that billing period. We do not automatically renew monthly and annual consumer subscriptions (such as students and graduates). Business subscriptions (such as companies, universities and recruiters) are not automatically renewed as well.

NON-PAYMENT

If you fail to pay any amounts due to us for your subscription, we may suspend or close your account and revoke your registration and/or subscription. You must pay us upon demand for any amounts owed to us under the terms of this agreement.

TERMINATION AND CANCELLATION

Without limiting our other rights or remedies, we reserve the right at any time, in our sole discretion and without liability to you, to temporarily or indefinitely suspend, restrict, or terminate your account or your subscription and access to our service if: (a) we suspect or become aware that any information you provided on any form or posted on our website is not true, accurate or complete, or such information otherwise violates any of our terms of service; (b) we suspect or become aware that you have disclosed your account details with other users to enable them to access and make use of your account; (c) you otherwise breach the letter or spirit of any terms and conditions on our site, including those contained in this agreement; or (d) we believe that your actions may cause legal liability for you, us, or other users of the site.

If your account is suspended or closed by us, you may not use our site or re-register under the same account or a different account without our prior written consent. If you attempt to use the site under a different account, we reserve the right to use an available payment method to pay for any amounts owed by you to the extent permitted by applicable law.

You may close your account or cancel automatic renewal of a premium subscription at any time via the “Cancel Account” feature of the settings page, or by sending an email to premium@HeySuccess.com. Account closure or cancellation by you or by us will not entitle you to a refund of any subscription fees already paid. All of your premium features will expire as soon as your cancellation takes effect at the end of your current billing cycle.

If your account is closed for any reason, you will no longer have access to data, messages, and other material you keep and post on the site and you understand that any closure of your account may involve deletion of any content stored in your account, for which we will have no liability whatsoever.

NO REFUNDS

Except where it is not compatible with any applicable law, users agree that once we receive payment from their designated payment method, the payment is non-refundable. You therefore agree not to ask your payment method provider to charge back any fees paid to us for any reason.

NO RELIANCE ON INFORMATION

HeySuccess Limited does not itself make any educational opportunities or programmes available, offer any financial support, scholarships or other opportunities advertised on our site, nor directly introduce or help to match recruiters with suitable candidates. We are not a party to the dealings between recruiters and students or graduates, and take no responsibility for posts, proposals, screening, selection, participation or application fees or costs, visa requirements, the performance of opportunities, work arrangements, or any other aspect of any relationship initiated as a result of using our site. We merely make the site available to facilitate contact between recruiters and talent, and enable users to identify and determine the suitability of opportunities and candidates for themselves.

As such, you expressly acknowledge, agree, and understand that: (a) we are not a party to any relationship or arrangement made between users; (b) we will not have any liability or obligations under or related to any arrangement made between users or for any acts or omissions by you or other users; (c) we have no control over any opportunities offered or rendered by users; and (d) we make no representations as to the reliability, capability, or qualifications of any users, or as to the quality, security or legality of the services they may provide, and we disclaim any and all liability relating thereto.

Before taking any action on the basis of the content on our site, you must contact the relevant opportunity provider directly for official and up-to-date information and instructions about opportunities featured on our site (which are subject to change at any time), or to apply for or make queries about such opportunities. We do not have any control over the reliability of the information provided by any third parties and any reliance you place on such information is strictly at your own risk.

Where you request a reference from a third party, you agree to obtain permission from such referee to be contacted by HeySuccess Limited for this purpose before providing us with their contact details. We take no responsibility for any reference they provide. You acknowledge that any such reference may be negative or defamatory, visible on your profile to other users who follow you on our site, and may affect your reputational rating (which is visible to all users on our site).

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only and do not imply any endorsement of those sites and resources by us. We have no control over the content, accuracy, or services provided by those sites or resources. They are not intended to amount to advice on which you should rely and you assume all responsibility and risk arising from your use of or reliance on such sites and resources.

Any advice shared through our Virtual Career Centre and written resources (ebooks, application tips, webinars, blog stories, etc.) is for informational purposes, and we do not take any responsibility for how you use the advice or what the outcome was from that advice.


ACCESS TO THE VIRTUAL CAREER CENTRE

Access to one-on-one application assistance through HeySuccess Virtual Career Centre is not unlimited. This is the number of complementary consultation included with each Premium plan: 1-month plan (1 consultation), 12-month plan (2 consultations), 24-month plan (4 consultations).
If you would like to purchase additional consultations, there is a flat fee of £30 per consultation, and it can be paid upon agreement with our Career Team at premium@heysuccess.com.

DISCLAIMER AND COMPLAINTS

The content on our site is provided “as is” for general information only. We make no representations, warranties or guarantees, whether express or implied, about the quality, safety, truth or accuracy, or legality of, any of the information or opportunities posted; the qualifications, background, reliability or identities of the users; the ability of any providers to deliver the services or opportunities posted; the accuracy of details about financial funding arrangements available to students for any opportunities posted; or that our site, or any content on it, will meet your requirements or be accurate, reliable, complete or up-to-date. To the maximum extent permitted by applicable law, we exclude all representations, warranties and conditions relating to your use of our site and services (including, without limitation, any warranties of merchantability, fitness for purpose, accuracy of data, non-infringement, and the use of reasonable care and skill).

If you have any complaints about the content on our site or any of the services we provide, please address them directly to us at info@heysuccess.com. We reserve the right to suspend, revoke or terminate the account and/or subscription of any user who we reasonably suspect or discover  has disseminated or published, in any format and on any media, negative or defamatory comments about us or our services.  

Limitation of liability To the extent permitted by law, HeySuccess (and those that we work with to provide our services) is not liable, and you agree not to hold us responsible, for any damages or losses arising out of or in connection with this agreement, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, including for:

1. the content, actions, or inactions of third party users of our site;
2. loss of profits, opportunities, reputation or revenues;
3. loss of sales or business;
4. loss of agreements or contracts;
5. loss of anticipated savings;
6. loss of or damage to goodwill;
7. loss of use or corruption of software, data or information;
8. any negative or defamatory comments made about you by your referee(s) or other users; or
9. any indirect or consequential loss.

The total liability of HeySucces, our affiliates, our licensors and our third-party service providers to any user for any claim whatsoever arising out of or in connection with these terms and your use of our services (including, without limitation, from any opportunity listing or booking, use of or inability to use the service or content, or any interactions with any other users) shall be limited to an amount that is no greater than the equivalent of the price of any premium annual subscription purchased by you under this agreement in the previous 12-month period.Nothing in these terms and conditions will limit or exclude our or your liability for: (a) death or personal injury resulting from negligence; (b) fraud or fraudulent misrepresentation; (c) anything else that may not be excluded under applicable law.

RELEASE

In addition to the recognition that HeySuccess Limited is not a party to any contract between users, you hereby release HeySuccess Limited from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with any dispute you have with another user, whether it be at law or in equity. This release includes, for example and without limitation, any disputes regarding the performance, functions and quality of any opportunities provided or candidates selected, and requests for refunds based upon disputes.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless HeySuccess, our affiliates, directors, officers, employees, representatives and agents from any and all claims, damages, liabilities, costs, losses and expenses arising from or relating to any claim, proceedings, demand or action brought by you or a third party or other user relating to: (a) use of the site and the site services, including any payment obligations incurred for the same; (b) any arrangements entered into by you with another user of our site; (c) your failure to comply with the terms of this agreement or any applicable law; (d) your negligence, wilful misconduct, or fraud; and (e) defamation, violation of privacy rights or infringement of intellectual property rights to the extent caused by you.

ASSIGNMENT

You shall not assign, transfer or deal in any other manner with any of the rights and obligations under this agreement. HeySuccess Limited may at any time assign, transfer or deal in any other manner with any or all of its rights under this agreement, at its sole discretion without restriction.

NOTICE

Any notice or other communication given under or in connection with this agreement shall be in writing and either sent by email to info@HeySuccess.com or to the address that you provided, or by a prominent and conspicuous notice posted on our website. You agree to keep your contact information up-to-date.

WAIVER

A waiver of any right or remedy under this agreement or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default.

A failure or delay by a party to exercise any right or remedy provided under this agreement or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy provided under this agreement or by law shall prevent or restrict the further exercise of that or any other right or remedy.

SEVERANCE

If any provision or part-provision of this agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this agreement.

ENTIRE AGREEMENT

This agreement constitutes the entire agreement between HeySuccess and you and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to its subject matter.Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in this agreement.

THIRD PARTY RIGHTS

No one other than a party to this agreement, their successors and permitted assignees, shall have any right to enforce any of its terms.

GOVERNING LAW

This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.

JURISDICTION

Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.
